Green Bay Renewable Energy, LLC, was a co-plaintiff with Oneida Seven Generations Corporation in its failed lawsuit against the City of Green Bay (Brown County Case #2012-CV-2263) and is now a co-appellant with OSGC in WI Court of Appeals Case #2013-AP-591.
What do we know about Green Bay Renewable Energy, LLC?
- According to the State of Delaware’s Division of Corporations website, Green Bay Renewable Energy, LLC, was formed in Delaware on December 15, 2011.
- OSGC has never acknowledged the existence of Green Bay Renewable Energy, LLC, in any documentation, reports or audits made available to the General Tribal Council.
- A January 17, 2012 memorandum from Sovereign Finance to the Oneida Business Committee on the subject of ‘ONEIDA ENERGY FINANCING SUMMARY’ discusses under ‘Organization Steps’:
- Oneida Energy forms subsidiary (Oneida Energy Blocker Corp.) and makes Section168(h)(6)(f) election
- Blocker Corp forms Green Bay Renewable Energy LLC as owner and operator of facility (Green Bay)
Oneida Energy Blocker Corp. is also listed on Delaware’s Division of Corporations website, and, just like Green Bay Renewable Energy, LLC, was also formed in Delaware on December 15, 2011.
According to OSGC’s ‘Financial Statements and Supplementary Information Years Ended September 30, 2012 and 2011’ as authored by auditing firm BDO and included in the Tribal Treasurer’s Semi-Annual Report to GTC:
During 2010 [OSGC] established Oneida Recycling Solutions, LLC, and Oneida Energy, Inc, as wholly-owned subsidiaries of the Corporation for purposes of eventual real estate holding (Solutions) and operation of a waste to energy operation (Energy).
Who owns Green Bay Renewable Energy, LLC?
If OSGC owns GBRE then the Corporate Report Model of their Corporate Charter requires them to have disclosed that fact in their ‘Disclosure Report; as of December 31, 2011,’ but they failed to mention GBRE and Oneida Energy Blocker Corp.
If OSGC doesn’t own GBRE then why did the Oneida Business Committee apparently provide money from the Tribe’s General Fund for GBRE’s legal fees in the failed lawsuit against the City of Green Bay and the ongoing appeal?
Are there any shareholders other than the Oneida Tribe, and if so who are they?
Who is on the Board of Green Bay Renewable Energy, LLC, who are the key management personnel, and what are their salaries/stipends?
These questions need to be posed to OBC & OSGC at the 6 p.m. Monday July 1, 2013 Semi-Annual GTC Meeting.
